01

Operator and contact

gpuxe is operated by <TODO: legal entity name>, registration number <TODO: legal entity registration>, <TODO: legal entity address>. Email: support@gpuxe.example.

These terms apply to every use of gpuxe. Creating an account, adding credit or starting a machine means accepting them.

02

Purpose of the service

gpuxe provides remotely accessible GPU cloud PCs for compute-intensive work such as gaming, AI/ML, rendering, video work and data processing. Customers rent access to infrastructure; they do not buy physical equipment and nothing is shipped. Machines are reached over the internet with a remote-desktop or streaming client. Compatible remote-access applications, such as Parsec and Moonlight, are independent third-party software: gpuxe does not supply or license them, and they remain governed by their own licences.

03

Who may use it and account responsibility

Use is for adults with legal capacity. Registration information must be accurate and credentials protected. Activity under the account is the account holder's responsibility. The account or service may be restricted for breach, fraud, security risk or where law or regulation requires action.

gpuxe may apply risk-based checks to significant, unusual or otherwise higher-risk top-ups, accounts and usage. Where risk indicators are identified, gpuxe may request identity information and supporting documents before allowing continued use of the account or its balance, restrict the account, or reject a transaction or refund it to the original payment method.

04

Acceptable use and customer data

The service may only be used lawfully. In particular, customers must not use it for:

  • DoS or DDoS attacks and participation in attack infrastructure;
  • malware, ransomware, viruses, botnets or command-and-control infrastructure;
  • phishing, credential theft, fraud or impersonation;
  • unauthorized access, hacking, port scanning or vulnerability probing;
  • hosting or distributing illegal content;
  • spam or abusive mass messaging;
  • infringement of intellectual-property rights;
  • cryptomining unless expressly authorized; and
  • use that compromises or disrupts third-party systems, networks or data.

Where suspicious or prohibited activity is identified, gpuxe may investigate the relevant account or machine, suspend or stop the affected machine, request information or remediation from the customer, and cooperate with the infrastructure provider or competent authorities where legally required. gpuxe may restrict, suspend or terminate the service where reasonably necessary to stop abuse, protect the infrastructure or comply with legal obligations, and may block or terminate the account in cases of serious, illegal or repeated abuse.

Customers keep ownership of the data, code and content they upload and remain responsible for its legality, its integrity and their own backups. gpuxe accesses that material only to run or maintain the service or where legally required.

05

Provisioning and delivery

Wallet credit is added to the customer account within 1 hour of successful payment, and a receipt is emailed to the registered address. A machine is created in the selected configuration and region and is usually ready within 15 minutes of being started; its remote-access details appear in the machine controls once it reaches the running state. Where credit delivery takes longer than 1 hour or a machine takes longer than 15 minutes to become ready, the customer is told the reason and a revised estimate. If the delay exceeds 4 hours, the customer may cancel and receive a full refund, or accept an equivalent configuration in another available region where one is offered.

06

Resource availability

Continuous GPU availability, a particular performance level and uninterrupted or error-free operation are not guaranteed, and hardware and configurations can change.

Spot machines run on reclaimable capacity: the infrastructure provider can withdraw it at short notice, which stops the machine and can lose unsaved work. A reclaimed spot machine is not detected automatically: it can keep showing as running and keep being charged until the customer stops it, and stopping it from the machine controls may not succeed. Report it to support straight away as set out in section 8: verified time that was charged but not supplied is refunded or credited.

07

Prices, billing and credits

Charges follow the prices gpuxe displays. A machine's hourly rate depends on its GPU size, on-demand or spot provisioning, region, upload bandwidth and disk size, and is shown before the machine is created. Prices are displayed as hourly rates, but usage is metered by the minute: each deduction rounds the time since the previous one up to a whole minute. Charges accrue from when a machine is started, including start-up time and any wait for capacity, until it is stopped. Metered usage is deducted from the wallet balance while the machine runs, normally once an hour, and when it is stopped. The first 100 GB of disk is included in the hourly rate. Each additional GB adds €0.002 per hour to that rate, and disk is not charged while the machine is stopped.

Consumed compute is non-refundable. Prices may change on reasonable notice; a change never alters amounts already deducted or the value of credit already bought.

The balance is checked each time usage is deducted. If it cannot cover the usage, what is left is deducted, the balance stops at €0.00 and the machine is stopped automatically. The stop happens at that deduction, not at the moment the balance runs out. A stopped machine keeps its disk and can be started again after more credit is added. Creating or starting a machine requires a balance that covers at least 3 hours at that machine's hourly rate. This is a check, not a charge: only metered usage is deducted.

Service credits can only be used for gpuxe services. They cannot be transferred, traded or redeemed for cash, except for refunds permitted under the Terms of Service. Credits are not cryptocurrency.

Prices are shown in EUR and are the amounts charged: any applicable taxes are included and nothing is added at payment.

08

Refunds

Refund requests can be sent to support@gpuxe.example within 14 days of the transaction date. They cover non-delivery, duplicate or incorrect billing, a verified service-side technical failure, a qualifying delivery delay (section 5), confirmed unauthorized charges, and unused credit that has never been spent. Successfully delivered compute, used storage, spent credit, charges arising from a breach of these terms, and losses caused by the customer's own configuration or code or by missing backups are excluded.

Verified infrastructure-failure periods are refunded or credited on the basis of the system logs; report an incident within 7 days so the logs are still available. Money returns to the original payment method unless the customer chooses, in writing, to receive wallet credit instead. Partial refunds apply where only part of a purchase was affected. Approved refunds are submitted within 10 business days of approval, and the processor or bank can take a further 3–10 business days to post them.

09

Billing disputes and chargebacks

Before opening a chargeback, customers should contact support@gpuxe.example with the transaction details, the machine and region concerned, dates and times, and screenshots or written statements where requested. Disputes are acknowledged within 24 hours and decided within 5 business days of receiving the evidence, and approved refunds are submitted within 10 business days of the decision. A customer who disagrees can ask for a formal review by a person not involved in the first decision, with a final written response within 15 business days. Card-scheme, regulator or ADR and court options, together with mandatory consumer rights, are preserved.

10

Digital-service withdrawal

For EU/UK consumers, the normal 14-day distance-contract withdrawal period applies, and checkout requires consent to immediate performance and acknowledgement that the withdrawal right is then lost. Once delivery begins (when wallet credit is applied to the balance or a machine begins provisioning), the withdrawal right is lost to the extent stated by applicable law; rights for faulty, misdescribed or undelivered service remain.

11

Payment security

Payments are processed by VelvexPay on its hosted payment page, so card details are never entered on gpuxe's servers. Transactions are tokenized and processed in compliance with PCI-DSS standards, protected in transit by TLS encryption and, where the card issuer requires it, by 3-D Secure authentication. gpuxe never receives or stores the full card number, expiry date or security code; it keeps the payment reference, the amount and status of the transaction, and the payment details the processor reports back.

12

Cancellation, closure and termination

There is no minimum term, subscription or cancellation fee. A machine can be stopped from the machine controls once it is running (not while it is starting or backing up), and a stopped machine can be deleted at any time; stopping a machine ends its charges (section 7).

Customers can close their account by contacting support@gpuxe.example once their machines are stopped. On closure, the machines are deleted and the account data is deleted within 30 days, except the records the law requires to be kept (see the Privacy Policy). Unused wallet credit can be refunded to the original payment method if requested within 14 days of the top-up that funded it; older and already-spent credit is not refundable.

gpuxe may suspend or terminate the service for a breach of these terms, a security or operational risk, or where law or regulation requires it (see also section 4). On termination by gpuxe, access and stored data may be removed immediately; where the termination is not caused by a customer breach, unspent credit is refunded to the original payment method.

13

Intellectual property; warranty; liability; indemnity

gpuxe retains rights in its service, software, infrastructure and branding. The service is provided on an 'as is' and 'as available' basis, subject to rights that cannot lawfully be excluded. To the maximum extent permitted by law, gpuxe is not liable for indirect, incidental, special or consequential loss, including loss of data, profits or business opportunities. Customers indemnify and hold gpuxe harmless from claims, damages or expenses arising from their use of the service, their violation of these terms, or their violation of applicable law or third-party rights.

14

Changes and law

Revised terms may be posted, and continued use after they take effect constitutes acceptance. These terms are governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles, and consumers keep the protection of the mandatory provisions of the law of the country in which they reside.
